TERMS AND CONDITIONS FOR SUPPLIERS UPLOADING TO THE WINGMAN SUPPLIER DIRECTORY

1. Scope

These Terms and Conditions (“Terms”) govern the use of the Wingman Supplier Directory by Suppliers (“you” or “Supplier”) for uploading and advertising products, services, and pricing. By uploading any content or registering on the directory, you agree to comply with these Terms.

2. Supplier Obligations

1. Honour Advertised Prices:
   • All prices uploaded and advertised on the Supplier Directory must be honoured at the time of booking or purchase.
2. Accuracy of Content:
   • All content, including pricing, product descriptions, and promotional offers, must be true, accurate, and not misleading.
   • Any changes to pricing or offers must be updated immediately to ensure accuracy.
3. Company Registration:
   • All Suppliers listed in the directory must be Australian-registered companies with an active Australian Business Number (ABN).
4. Currency and Tax Information:
   • Pricing must be listed in Australian Dollars (AUD).
   • Suppliers must specify whether pricing is exclusive or inclusive of GST.
   • GST compliance is the responsibility of the Supplier, and all pricing must adhere to Australian tax laws.

3. Subscription Requirements

1. Active Subscription Required:
   • The ability to post and maintain listings on the Supplier Directory is limited to the duration of an active paid subscription.
   • If the subscription is canceled or lapses, all listings will be removed from the directory immediately.
   • Suppliers may reactivate their listings upon renewal of their subscription.
2. No Free Listings:
   • All Suppliers must maintain a paid subscription to post content in the directory.

4. Relationship with The Shift Corp and Wingman

1. No Preferred Supplier Status:
   • Listing in the Supplier Directory does not guarantee preferred supplier status with The Shift Corp or any of its subsidiaries, affiliates, or clients.
   • The Shift Corp makes no warranties or representations regarding future business opportunities through the directory.
2. No Endorsement or Approval:
   • Listing in the directory does not imply endorsement or approval by The Shift Corp or Wingman of the Supplier’s products or services.

5. Maintenance of Content and Contact Information

1. Responsibility for Updates:
   • Suppliers are responsible for regularly updating their content, including product offerings, pricing, and contact information.
   • It is not the responsibility of The Shift Corp or Wingman to monitor or maintain Supplier information.
2. Compliance with Platform Requirements:
   • All uploaded content must comply with Wingman Platform standards and these Terms. The Shift Corp reserves the right to remove content that violates these Terms or is deemed inappropriate.

6. Liability and Indemnity

1. Supplier Liability:
   • Suppliers are solely responsible for the accuracy of their content and for honouring advertised offers. The Shift Corp disclaims liability for any discrepancies between advertised and actual pricing or services.
2. Indemnity:
   • Suppliers agree to indemnify and hold harmless The Shift Corp and its affiliates from any claims, damages, or losses arising from non-compliance with these Terms or false representations.

7. Termination of Listing

1. Suspension or Removal:
   • The Shift Corp reserves the right to suspend or remove Supplier listings at its sole discretion for violations of these Terms or platform policies.
2. Voluntary Termination:
   • Suppliers may remove their listing at any time. However, any commitments made to clients through the directory prior to removal must still be honoured.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of New South Wales.
